These Terms & Conditions (“Terms”) are a legal agreement between you and
Kintiq, LLC (“Fanvaiy Ads”, “we”, “us”, or “our”) governing your
use of the Fanvaiy Ads platform. By creating an account or using the service, you
agree to these Terms. If you are using Fanvaiy Ads on behalf of a company, you
represent that you are authorized to bind that company.
1. Definitions
- Service — the Fanvaiy Ads network and dashboards, including ad serving, tracking, billing, and payouts.
- Advertiser — an account that funds and runs campaigns.
- Publisher — an account that registers websites and earns from ad slots.
- Campaign / Creative — an advertiser’s ad program and the individual ad assets within it.
- Impression / Click — a verified display of, or click on, a creative.
- CPM — cost per one thousand impressions.
2. Eligibility and accounts
- You must be at least 18 years old and able to form a binding contract.
- Advertisers may register from the countries we currently support; publisher sign-ups are presently limited to the Maldives. We may change supported regions at any time.
- You must provide accurate information and keep it up to date.
- You are responsible for the security of your credentials and for all activity under your account. Administrator accounts are created only by us.
3. Acceptable use
You agree not to:
- Generate or facilitate invalid traffic — including bots, automated requests, incentivized views, or clicking your own or others’ ads to inflate metrics.
- Interfere with, reverse-engineer, or attempt to manipulate ad selection, tracking tokens, budgets, or earnings.
- Upload or link to content that is illegal, deceptive, malicious (e.g. malware), infringing, or that violates the rights of others.
- Use the Service to distribute spam or to collect data about visitors beyond what the Service itself provides.
- Probe, scan, overload, or disrupt the Service or its infrastructure.
4. Review and moderation
All sites, campaigns, and creatives are subject to human review and must be
approved before they serve. We may approve, reject, pause, or remove any account,
site, campaign, or creative at our discretion — for example, for policy or quality
reasons. Unapproved or suspended sites earn nothing, even if ad code is present.
5. Advertiser terms
- Advertising is sold on a CPM basis, with daily and total budget caps you control.
- Accounts are prepaid: you fund a balance, and campaign spend is deducted from it. Deposits are currently processed manually by our team.
- You are billed only for impressions and clicks that pass our signed verification. Aggregated, verified events are the authoritative record for billing.
- We do not guarantee any minimum volume of impressions, clicks, conversions, or available inventory.
- All amounts are tracked in integer cents. Unless required by law, deposited funds are non-refundable except at our discretion; any refund is returned to your balance or original method.
- You are solely responsible for your creatives and landing pages and for ensuring you hold all necessary rights and permissions.
6. Publisher terms
- You may register websites you own or are authorized to monetize. Each site requires approval before serving ads.
- You earn a revenue share of the value of verified ad events on your sites. The default share is 70% to the publisher and 30% to Fanvaiy Ads, unless a different rate is set on your account.
- Earnings accrue daily and settle into a withdrawable balance after the nightly rollup.
- You may request a payout to your bank by providing accurate payout details. Payouts are reviewed and processed manually by an administrator; processing times may vary, and we may withhold payouts pending fraud or compliance review.
- You must not place ad slots on pages that violate Section 3, and you must not artificially inflate impressions or clicks.
- Network ads may run alongside your own direct sponsors as permitted by the platform.
7. Payments, fees, and taxes
- Our fee is the platform’s share of ad revenue, as reflected in the revenue split above.
- You are responsible for any taxes, levies, or duties applicable to your use of the Service, your earnings, or your spend, except for taxes based on our net income.
- You are responsible for the accuracy of the bank and tax details you provide. We are not liable for payouts delayed or misdirected due to incorrect information.
8. Intellectual property
The Service, including its software, design, and trademarks, is owned by Kintiq,
LLC and its licensors. We grant you a limited, non-exclusive, non-transferable right
to use the Service as intended. You retain ownership of the content you submit
(creatives, site information) and grant us the rights necessary to host, display, and
serve it as part of operating the Service.
9. Suspension and termination
You may stop using the Service and request account closure at any time. We may
suspend or terminate access if you breach these Terms, if we suspect fraud or invalid
traffic, or as needed to protect the Service or other users. On termination, verified
amounts owed are reconciled in accordance with these Terms; we may withhold sums
associated with fraud, chargebacks, or policy violations.
10. Disclaimers
The Service is provided on an “as is” and “as
available” basis, without warranties of any kind, whether express or implied,
including merchantability, fitness for a particular purpose, and non-infringement. We
do not warrant that the Service will be uninterrupted, error-free, or that it will
achieve any particular result.
11. Limitation of liability
To the maximum extent permitted by law, Kintiq, LLC and its affiliates will not be
liable for any indirect, incidental, special, consequential, or punitive damages, or
for lost profits, revenue, or data. Our total liability for any claim relating to the
Service will not exceed the greater of (a) the amounts you paid to us, or that we paid
to you, in the three months before the event giving rise to the claim, or (b) USD 100.
12. Indemnification
You agree to indemnify and hold harmless Kintiq, LLC and its officers, employees,
and agents from any claims, damages, liabilities, and expenses (including reasonable
legal fees) arising from your use of the Service, your content, or your breach of
these Terms or applicable law.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States,
without regard to its conflict-of-laws rules. You agree that the state and federal
courts located in Delaware will have exclusive jurisdiction over any dispute that is
not otherwise resolved, except that either party may seek injunctive relief in any
competent court to protect its intellectual property or confidential information.
14. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will
revise the “Last updated” date above and, where appropriate, notify account holders.
Your continued use of the Service after changes take effect constitutes acceptance of
the updated Terms.
